6. User Content and Data

You retain ownership of any data, content, or information you upload or submit to the Platform ("User Content"). By submitting User Content, you grant Carbonetrix a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Services.

You are solely responsible for your User Content and warrant that:

• The User Content does not infringe any third-party rights
• The User Content complies with all applicable laws and regulations

7. Subscription and Payment Terms

If you subscribe to paid Services, you agree to pay all applicable fees as described in your subscription plan. Subscription fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified.

All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change our pricing with notice to existing subscribers.

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

8. Refund Policy

All plans include a 30-day full refund guarantee if the Services do not meet your project needs. Refund requests must be submitted within 30 days of your initial subscription date. Refunds will be processed within 14 business days.

9. Service Availability and Modifications

We strive to provide continuous access to the Services but do not guarantee uninterrupted or error-free operation. We may perform scheduled or unscheduled maintenance that may temporarily interrupt service.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any consequences of such modifications or interruptions.

10. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure. You acknowledge that you use the Services at your own risk.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We make no warranty regarding the accuracy, completeness, or reliability of any information obtained through the Services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARBONETRIX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Carbonetrix and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of any rights of another party
• Your User Content

14. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. We may delete your account and User Content at any time after termination. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
